Capital Gain on Purchase by A Company of its Own Shares or Other Securities [Section 46A]

Where the shares or any other specified security is purchased back by a company and some consideration is received by the holder of such share or security, the difference between such consideration and cost as indexed uls 48, shall be deemed to be capital gain of the previous year in which such shares or specified securities are purchased back by the company.

Capital gains on transfer in the context of foreign currency exchangeable bonds (FCEB)

With a view to providing a level playing field to FCEB, has been provided that the conversion of FCEB into shares or debentures of any company shall not be treated as a “transfer.”

Further section 49 (2A) has been substituted to provide that the cost of acquision of the shares received upon conversion of the bond shall be the price at which the corresponding bond was acquired.
